Terms of Service

1. About these terms

These Terms of Service ("Terms") govern your access to and use of the LeadResponseAI platform, website, and services ("Service") provided by LeadResponseAI ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

2. Description of service

LeadResponseAI is an AI-powered lead response platform that enables businesses ("Customers") to automatically engage new leads via SMS text messaging and AI voice calling. The Service includes:

  • Automated SMS outreach to leads provided by the Customer.
  • AI-powered outbound and inbound voice calling.
  • Workflow automation tools for lead qualification and appointment booking.
  • A white-label agency platform for resellers.
  • Analytics and reporting on lead response performance.

The Service is intended for business-to-business (B2B) and business-to-consumer (B2C) sales automation and is not intended for personal, family, or household use.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to send unsolicited commercial communications to individuals who have not consented to receive them, or who are registered with the UK Telephone Preference Service (TPS) without their explicit consent.
  • Use the Service to contact any individual in violation of the GDPR, UK GDPR, TCPA, CAN-SPAM Act, or any other applicable communications or data protection law.
  • Upload contact lists that contain data obtained through unlawful means, purchased from non-compliant list brokers, or that you do not have a legal right to use for outbound marketing.
  • Use the Service to harass, threaten, or engage in any abusive or deceptive communications.
  • Attempt to reverse-engineer, copy, or create derivative works of the Service.
  • Interfere with or disrupt the integrity or performance of the Service or third-party systems connected to it.
  • Use the Service for any purpose that is unlawful, harmful, or objectionable.

You are solely responsible for ensuring that all contact data you upload to the platform has been lawfully obtained and that you have the necessary legal basis for contacting each individual.

4. SMS opt-out and compliance

Every SMS message sent through the Service includes a clear opt-out instruction (e.g. "Reply STOP to unsubscribe"). When an individual opts out, their number is immediately suppressed in our system. You must not attempt to re-contact any individual who has opted out.

In the United Kingdom, we check the Telephone Preference Service (TPS) registry before sending any outbound communication. Numbers registered with the TPS will be excluded from communications unless the individual has given explicit consent directly to you as the Customer.

For US-based communications, all SMS traffic is sent via A2P 10DLC registered numbers. You are responsible for ensuring that your use of the Service complies with the Telephone Consumer Protection Act (TCPA) and any state-level telemarketing laws.

We reserve the right to suspend your account immediately if we reasonably believe your use of the Service is causing harm to recipients or putting us in breach of applicable telecommunications regulations.

5. AI calling and disclosure

The Service uses AI to conduct voice calls. All AI voice calls begin with a clear disclosure that the caller is an AI. You must not configure the Service in any way that suppresses or circumvents this disclosure. Calls may be recorded for quality assurance and as required by applicable law. It is your responsibility to ensure that any call recording complies with the laws of the jurisdiction in which the call is being made and received.

6. Customer data and privacy

You retain ownership of all contact data and customer data you upload to the Service. By using the Service, you grant us a limited, non-exclusive licence to process that data solely for the purpose of providing the Service to you.

We process personal data in accordance with our Privacy Policy, which forms part of these Terms. You and we each agree to comply with our respective obligations under applicable data protection law, including UK GDPR. A Data Processing Agreement is available on request for Customers who require it for GDPR compliance purposes.

7. Payment and billing

Fees for use of the Service are as agreed in your order form or subscription agreement. All fees are exclusive of VAT and other applicable taxes. We reserve the right to suspend access to the Service if payment is overdue by more than 14 days after the due date.

SMS and voice usage is billed in arrears based on actual consumption. Pricing is subject to change with 30 days' written notice for existing customers.

8. Intellectual property

All intellectual property rights in the Service, including the platform, software, AI models, workflow tools, and documentation, are owned by or licensed to LeadResponseAI. Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.

9. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or relating to your use of the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10. Termination

Either party may terminate the Service on 30 days' written notice. We reserve the right to terminate or suspend the Service immediately and without notice if you breach these Terms, particularly any provisions relating to acceptable use, SMS compliance, or payment.

Upon termination, you will lose access to the Service and any data stored within it. We will retain your data for 30 days following termination to allow you to request an export, after which it will be deleted in accordance with our data retention policy.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be notified to you by email at least 14 days before they take effect. Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms.
